Terms & Conditions

The rules that govern your use of the DelivraX platform and services.

Please read these Terms carefully. By using DelivraX, you agree to these Terms. If you are using DelivraX on behalf of a business, you confirm you have authority to bind that business to these Terms.

1. Acceptance of Terms

By accessing or using the DelivraX platform (website, mobile app, or APIs), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, you must not use our services.

These Terms constitute a legally binding agreement between you and DelivraX Nigeria Ltd ("DelivraX", "we", "us"). We reserve the right to update these Terms at any time with reasonable notice.

You must be at least 18 years of age to create an account and use any DelivraX service. By registering, you confirm that you meet this requirement.

2. Platform Role

DelivraX is a technology marketplace that connects independent delivery riders with businesses and individuals who need delivery services. DelivraX is not a delivery company.

DelivraX does not employ riders. All riders on the platform are independent contractors who have agreed to our Rider Terms. DelivraX facilitates the connection and provides the technology to execute and track deliveries.

DelivraX is not liable for the actions, negligence, or conduct of any rider, business, or customer using the platform, except to the extent set out in these Terms.

3. User Accounts

  • You are responsible for maintaining the security of your account credentials. Do not share your password with anyone.
  • You must provide accurate, complete, and current information when creating your account.
  • You are responsible for all activity that occurs under your account, whether or not authorised by you.
  • You must notify DelivraX immediately at support@delivrax.ng if you suspect unauthorised access to your account.
  • DelivraX reserves the right to suspend or terminate accounts that violate these Terms or that are associated with fraudulent activity.
  • Each individual or business may register only one account of each type. Multiple accounts for the same entity are prohibited.

4. Customer Obligations

As a customer using the platform to book deliveries, you agree to:

  • Provide accurate pickup and delivery addresses and contact information
  • Ensure items for delivery comply with our prohibited items list (see Section 7)
  • Be available to receive your delivery or designate an authorised recipient
  • Pay for deliveries through the platform's designated payment channels only
  • Treat riders with respect and professionalism at all times
  • Not book deliveries under false pretences or for illegal purposes
  • Release payment promptly upon confirmed delivery unless a valid dispute has been raised

5. Rider Obligations

As a verified rider on the DelivraX platform, you agree to:

  • Maintain a valid rider's license, vehicle registration, and all required government approvals at all times
  • Complete the KYC verification process honestly and with genuine documents
  • Only accept orders you can fulfil within the agreed timeframe
  • Handle all packages with care and report any pre-existing damage before accepting
  • Not refuse to deliver to valid addresses within the agreed service area
  • Maintain a rating of 3.5/5 or above to remain eligible for orders
  • Not engage in side agreements or cash transactions with customers outside the platform
  • Comply with all applicable traffic laws and road safety regulations
  • Treat customers and businesses with professionalism and courtesy
  • Not share your account credentials or allow others to operate under your account

6. Business Obligations

As a registered business on the DelivraX platform, you agree to:

  • Provide accurate business registration information during onboarding
  • Only use the platform for legitimate, legal business delivery purposes
  • Ensure items submitted for delivery are legal, accurately described, and properly packaged
  • Not use DelivraX for bulk cash transport, illegal goods, or regulated substances
  • Pay all platform commissions and applicable fees on time
  • Resolve customer disputes fairly and in good faith
  • Maintain the confidentiality of any API keys or integration credentials issued to you
  • Notify DelivraX if you become aware of any fraud or misuse related to your account

7. Payments & Fees

  • All payments for deliveries must be made through the DelivraX platform. Cash payments between users are strictly prohibited.
  • DelivraX charges a service commission on each completed delivery. The commission rate is displayed in your account settings and may be updated with 30 days' notice.
  • Rider earnings are credited to their DelivraX wallet immediately upon delivery confirmation. Withdrawal to bank accounts is available at any time with no minimum threshold.
  • Refunds may be issued at DelivraX's discretion following a dispute investigation. Refunds are processed within 5–7 business days.
  • DelivraX reserves the right to withhold payments where fraud, a dispute, or a violation of these Terms is under investigation.
  • All fees and transactions are in Nigerian Naira (NGN) unless otherwise stated.

8. Prohibited Conduct

The following items and behaviours are strictly prohibited on the DelivraX platform:

Prohibited Items

  • Illegal drugs, narcotics, or controlled substances
  • Firearms, ammunition, or explosive materials
  • Counterfeit goods or materials infringing intellectual property rights
  • Hazardous chemicals or biological materials
  • Live animals or protected wildlife products
  • Cash exceeding ₦500,000 in a single delivery
  • Any item prohibited under applicable Nigerian law

Prohibited Behaviours

  • Impersonating another person or entity
  • Manipulating ratings or reviews through fake or incentivised submissions
  • Sharing, selling, or transferring your account to another person
  • Reverse-engineering, scraping, or attempting to access our platform without authorisation
  • Using the platform to harass, threaten, or harm other users
  • Creating multiple accounts to evade suspensions or bans

9. Liability & Disclaimer

DelivraX provides its platform on an 'as is' and 'as available' basis. We make no warranties — express or implied — regarding the reliability, availability, or fitness for purpose of the platform.

DelivraX's maximum aggregate liability to any user for any claims arising from use of the platform shall not exceed the total fees paid by that user to DelivraX in the 3 months preceding the claim.

DelivraX is not liable for: loss or damage to packages (beyond the insurance coverage provided, where applicable); delays caused by traffic, weather, or acts of God; indirect, consequential, or punitive damages; or any actions or omissions of independent riders.

DelivraX offers optional delivery insurance for qualifying packages. Insurance terms are governed by the applicable insurance policy and are subject to a separate agreement.

10. Termination

You may close your account at any time by submitting a request through the app or emailing support@delivrax.ng. Outstanding balances and pending deliveries must be resolved before account closure.

DelivraX may suspend or terminate your account immediately and without notice if: you breach any provision of these Terms; you engage in fraudulent activity; your account poses a risk to other users or the platform; or we are required to do so by law.

Upon termination, your access to the platform ceases. DelivraX retains the right to retain your data as required by law (see our Privacy Policy for retention periods).

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall first be subject to good-faith negotiation.

If negotiation fails, disputes shall be referred to mediation under the rules of the Lagos Court of Arbitration. If mediation is unsuccessful, disputes shall be resolved in the Federal High Court of Nigeria.

You agree that any claim must be brought in your individual capacity and not as part of a class action or collective proceeding.
